good idea and a whole lot of passion. But
how do you execute your idea when you don’t
speak and read Chinese fluently?

It might take tons of self-discipline and
smart-strategizing, like in any other country,
though Taiwan authorities are also providing
a lot of information in English (http://investtaiwan.
nat.gov.tw/) to help those who are
ready to launch their startup.

In the meantime, Taiwan What’s up?
reminds readers that the European Chamber
of Commerce Taipei (ECCT) and the American
Chamber of Commerce in Taipei (AmCham),
two of the largest, most effective business
organizations in Taiwan, are also dedicated to
promoting the interests of international business,
big or small, in Taiwan. ■

Many people dream of starting their own
business. If you want some important
information on business registration, financing
and taxes in Taiwan, here are some tips from
the InvesTaiwan Service Center.

To begin with, potential investors should
know that they are required to submit an
application to the Investment Commission
under the Ministry of Economic Affairs (MOEA)
in accordance with the Statute for Investment
by Overseas Chinese or Statute for Investment
by Foreign Nationals.

After obtaining approval, they must
register their company with the competent
authority in charge of company registration
in accordance with Taiwan’s corporate laws.
Those who wish to set up a branch company
must also seek approval from the MOEA’s
Department of Commerce.
If the investor is a corporation (juridical
person), a representative, who is also a citizen
of the Republic of China (R.O.C.), will have
to be nominated. Please note that civil servants,
teaching personnel employed at public
schools or those employed by state-owned
corporations or serving in the military may not
act as the representative of an investor.
For representative offices, the authorization
letter of the investor’s representative
will have to be authenticated by the government
agency or certified by a court where
the foreign company is located or the foreign
individual resides, or notarized by a qualified
public notary according to the R.O.C. Notary
Act, or authenticated by the home country’s
foreign embassy or representative office in
the R.O.C.

The content of the authorization letter
should clearly state the name of the investor
and the name of the representative and
should clearly stipulate the obligations designated
therein to the representative. ■

許多人都夢想要自己創業。如果你想
得到一些關於台灣工商登記、融資和稅收
的技巧,透過行政院全球招商聯合服務中
心便可獲得。

首先,潛在的投資者應該了解,他們
必須根據華僑回國投資條例或外國人投資
條例,向隸屬於經濟部的投資審議委員會
提出申請。

得到核准之後,他們必須依照台灣的
公司法向主管機關申請公司註冊。若希望
成立分公司,還必須尋求經濟部商業司的
核准。

如果投資者為公司法人,擁有中華民
國公民身份的代表即可被提名。請注意,
公務員、任職於公立學校或公營企業,或
在軍中服役者,不得擔任投資人代表。
關於代表處部分,投資者代表的授權
書必須得到政府機構,或外國公司或外籍
個人所在地的的法院,或根據中華民國公
證法之規定有資格的公證人,又或者是母
國的外國使館或代表處等單位的認證。
授權書內容應清楚記載投資者名稱及
代表姓名,同時應明確規定代表在這之中
所負的責任。 ■

What should you do before
your start your own business?

 Research your market’s target customers,
market demand, competitors, and conduct
a market analysis and development
plan.

 Draft your operational business strategies,
executive plan, vision/mission, and
financial budget.

 Choose the suitable investment tools and
business type (firm, company, branch
office or representative office) based on
your business plan.

 Look for principal premises, industrial
land (only applicable for producing and
manufacturing industry) or other business
premises.

 Survey for taxes, incentives and related
laws and regulations.

 Survey for foreign employment needs.
